Non-Compete Agreement

This Non-Compete Agreement ("Agreement") is made effective as of the date signed below by and between [Platform Name] Home Care ("Company") and the undersigned Tasker ("Tasker").

1. Purpose

The purpose of this Agreement is to protect the legitimate business interests of [Platform Name] Home Care, including its trade secrets, confidential information, client relationships, and goodwill.

2. Non-Competition Covenant

During your engagement with [Platform Name] Home Care and for a period of [specified number of years, e.g., two (2) years] following the termination of your engagement (whether voluntary or involuntary), Tasker agrees not to directly or indirectly engage in any business or provide services that compete with [Platform Name] Home Care in the following ways:

  • Geographic Scope: Tasker shall not perform services similar to those provided by [Platform Name] Home Care within [specified geographic area, e.g., 50 miles] of any location where [Platform Name] Home Care operates.

  • Scope of Services: Tasker shall not provide any services related to home cleaning, organization, laundry, pet care, yard maintenance, small repairs, or any other services similar to those offered by [Platform Name] Home Care.

3. Non-Solicitation of Clients and Employees

Tasker agrees that for the duration of their engagement with the Company and for a period of [specified number of years] following the termination of the engagement, they will not:

  • Solicit or attempt to solicit any client or prospective client of [Platform Name] Home Care for services that compete with those offered by the Company.

  • Hire, attempt to hire, or otherwise engage any current or former employee, contractor, or Tasker of [Platform Name] Home Care in a manner that could interfere with their obligations to the Company.

4. Confidentiality

Tasker agrees to maintain strict confidentiality of all proprietary information, trade secrets, business practices, client lists, pricing information, and other sensitive data acquired during their engagement with [Platform Name] Home Care. This obligation shall survive the termination of this Agreement indefinitely.

5. Acknowledgments

Tasker acknowledges and agrees that:

  • The restrictions imposed by this Agreement are reasonable and necessary to protect the Company’s legitimate business interests.

  • They have carefully read and considered the terms of this Agreement, including the geographical and time limitations, and agree that they are fair and reasonable.

  • They understand that violating this Agreement may cause the Company irreparable harm and that the Company shall be entitled to seek any remedy available, including injunctive relief and damages.

6. Severability

If any provision of this Agreement is found to be unenforceable or invalid under applicable law, such provision shall be deemed modified to reflect the intention of the parties to the greatest extent permitted by law, and the remainder of the Agreement shall remain in full force and effect.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State]. Any legal action related to this Agreement shall be filed in the courts of [Your State].
