Non-Compete and Non-Solicitation Agreement

1. Non-Compete Clause

  • Exclusive Service Requirement: While engaged in delivery services for our platform, drivers are prohibited from simultaneously providing services for any competing grocery, food, or package delivery platforms. This ensures that drivers’ focus remains on delivering high-quality, timely service for our customers.

  • Time-Based Exclusivity: Drivers may not perform deliveries for competing platforms within a specified timeframe (e.g., 2 hours) before and after completing a delivery for our platform. This measure helps avoid conflicts that could affect punctuality or quality.

  • Geographical Scope: Drivers are restricted from engaging in delivery services for competing platforms within the geographic area they serve for our platform, ensuring that drivers are fully available during their active delivery hours.

 

2. Non-Solicitation Clause

  • Non-Solicitation of Customers: Drivers are strictly prohibited from soliciting or encouraging customers to use other delivery services outside of our platform. All transactions and services must be conducted through the platform to maintain accountability and ensure quality control.

  • Non-Recruitment of Team Members: Drivers are also restricted from recruiting, soliciting, or encouraging other drivers or employees to join a competing platform. This includes verbal solicitation, social media outreach, or any form of digital communication intended to encourage other team members to switch platforms.

 

3. Breach and Consequences

  • Termination of Agreement: Any driver found in violation of the Non-Compete or Non-Solicitation terms may face immediate termination of their contract with the platform. Maintaining exclusivity is a fundamental part of our service agreement, and breaches will be taken seriously.

  • Loss of Benefits: Drivers who violate these terms may lose eligibility for any incentives, bonuses, or preferred scheduling privileges associated with exclusive service.

 

4. Loyalty and Incentives

  • Loyalty Rewards: Drivers who remain exclusively with our platform and meet specific service milestones will be eligible for loyalty rewards, including bonus payments, priority scheduling, and access to premium routes.

  • Referral Program: Drivers who refer new drivers to the platform may receive a referral bonus once the new recruit completes a designated number of deliveries. This encourages growth within the team and fosters a supportive community.

 

Acknowledgment and Agreement

By agreeing to these terms, drivers acknowledge their commitment to serving exclusively with our platform during active hours, and they understand the importance of adhering to these policies to maintain trust, quality, and fairness for all users.
